A. GENERAL PROVISIONS

1. Scope and definitions

These Terms and Conditions of Sale (hereinafter the “Terms”) apply to all offers, orders and registrations relating to training courses offered by Cybexpert Sàrl (hereinafter “Cybexpert”).

Training courses may be offered as self-study, e-learning or instructor-led training, either in person or remotely. Instructor-led training may be organised as open-enrolment training or as private corporate training.

The general provisions of Section A apply to all training courses. The specific sections apply according to the type of service concerned. Where a training course falls under several sections, those provisions apply cumulatively. In the event of any conflict, the provisions most specific to the service concerned shall prevail.

Self-study: training undertaken independently using learning materials, without live instruction by an instructor.
E-learning: training undertaken independently on a digital platform using learning modules.
Instructor-led training: training delivered live by an instructor, either in person or remotely.
Open-enrolment training: a session open to participants from different clients or to individuals registering separately.
Private corporate training: training organised specifically for a single client.

Any order or registration implies acceptance of these Terms, subject to mandatory legal provisions. Any deviation from these Terms must be expressly agreed in writing between Cybexpert and the client. In the event of any conflict between these Terms and any specific conditions expressly agreed in writing between the parties, the latter shall prevail.

2. Prices and taxes

Les prix sont indiqués en francs suisses (CHF), sauf indication contraire.
The tax treatment depends on the nature of the service, the client’s place of establishment or residence, and the payment method used.

For services sold directly by Cybexpert, applicable taxes are determined in accordance with the relevant tax provisions.
For certain digital services sold through Stripe Managed Payments, applicable indirect taxes may be calculated, collected and remitted by the payment service provider in accordance with the rules applicable in the client’s country. The total amount, including taxes, is shown to the client before payment is confirmed.
The applicable price is the price displayed at the time of the order.

3. Amendments to the terms

Cybexpert reserves the right to amend its offering and these Terms at any time. The applicable version is the version in force at the time of the order or registration.

4. Copyright and use of training materials

Training materials (documents, videos and exercises) are protected by copyright and are provided for personal, non-transferable use. Any reproduction, copying, distribution, resale or dissemination, in whole or in part, without written authorisation is prohibited. Official materials provided by certification bodies (PECB, ISC2, ISACA, etc.) remain the property of the relevant organisation and are subject to their own terms of use.

5. Personal data

The client is informed that their personal data is processed in accordance with Cybexpert’s Privacy Policy.

Data required to process online payments may be transmitted to the relevant payment service provider, including Stripe.

For certification training courses, the participant’s name and email address are transmitted to the relevant certification body for registration, access to the training platform, examination purposes and issuance of the certificate. This transfer is necessary for the performance of the contract.

6. Limitation of liability

To the extent permitted by law, Cybexpert’s liability for direct damages is limited to the amount paid for the service concerned. Any liability for indirect or consequential damages is excluded to the extent permitted by law. These limitations do not apply in cases of wilful misconduct, gross negligence, or where liability cannot be excluded or limited under applicable mandatory law.

7. Governing law and jurisdiction

These Terms are governed by Swiss law. Subject to applicable mandatory provisions, including those protecting consumers, the courts at the registered office of Cybexpert Sàrl in Morges, Switzerland, shall have jurisdiction.

B. PECB, EXAMINATIONS AND CERTIFICATIONS

8. Purpose and role of PECB

For PECB training courses and certifications, Cybexpert acts as an official PECB partner. Depending on the training course selected, the training content, materials, platform, examination and certification services may be provided directly by PECB.

Cybexpert is responsible in particular for enrolling the participant and, depending on the service selected, organising the training and providing administrative support.

Services provided directly by PECB are subject to the applicable PECB rules and terms.

9. Participant identification and enrolment

Enrolment with PECB is carried out using the participant’s name and email address. If the participant is not the purchaser, the purchaser must provide Cybexpert with the participant’s name and email address within the specified time limits. Failing this, enrolment may be carried out on the basis of the information provided at the time of the order, without Cybexpert incurring any liability.

10. Examination and certification

The price includes one initial attempt at the PECB examination as well as one free retake in the event of failure on the first attempt, within the time limits and subject to the conditions set by PECB. The examination and retake arrangements are governed by the applicable PECB rules.

Passing the examination does not automatically guarantee that certification will be awarded. Depending on the certification concerned, PECB may impose additional requirements, particularly in relation to professional experience or the certification process.

C. SELF-STUDY AND E-LEARNING

The provisions of this section apply to training courses undertaken independently, without live instruction by an instructor.

11. Ordering and payment

Cybexpert offers training courses that it provides directly, as well as training courses provided by partner training or certification organisations.

Where the training course is provided directly by Cybexpert, Cybexpert is responsible for providing the training course, its content and the associated support.

Where Cybexpert acts as a reseller of a training course provided by a partner organisation, the provision of the training course, training materials, access to the platform, examinations, certification services and associated support is the responsibility of the relevant organisation, according to the services included in the offer. In such cases, Cybexpert is responsible for the commercial administration of the order and, where applicable, for enrolling the participant with the partner organisation.

The essential characteristics of the training course, its format, its provider and the services included are specified in the offer or on the training course presentation page.

The client is responsible for checking the accuracy of the information provided when placing the order. The order becomes binding once payment has been confirmed or, where payment by invoice has been agreed, once registration has been confirmed by Cybexpert.

Payment is due at the time of the order, unless otherwise agreed. The available payment methods are those offered to the client at the time of the order.

For certain services, payment may be processed by a payment service provider acting as the merchant of record, including through Stripe Managed Payments. In such cases, the relevant provider is responsible for processing the transaction and for the services falling within its remit in relation to payment, indirect taxation, refunds and dispute management.

The use of a payment service provider does not alter the respective responsibilities of Cybexpert and, where applicable, the partner organisation regarding the provision of the training course and associated services.

12. Access to the training

The access arrangements and time frames are specified in the offer or on the training course presentation page.

Lorsque la formation est fournie directement par Cybexpert, les accès ou supports sont mis à disposition selon les modalités indiquées lors de la commande.
Where the training course is provided by a partner organisation, access is provided in accordance with that organisation’s procedures. For PECB training courses, Cybexpert enrols the participant with PECB within an indicative period of 24 to 48 business hours after receipt of payment. The participant then receives the information required to access the services ordered.

Cybexpert shall not be liable for delays or incidents attributable to the partner organisation or to the delivery of electronic communications.

13. Cancellation and refunds

Any request for cancellation or a refund must be submitted to Cybexpert as soon as possible.

Lorsque la prestation n’a pas encore été fournie, activée ou commandée auprès d’un organisme partenaire, Cybexpert peut procéder à l’annulation et au remboursement de la commande, sous réserve des dispositions légales applicables.
Where provision of the service has begun, or where licences, access rights, examinations, training materials or other services have already been ordered or activated with a partner organisation, cancellation or refund options may be limited depending on the costs and rights already committed. For PECB training courses, enrolling the participant with PECB may in particular result in such costs or rights being committed.

For transactions carried out through Stripe Managed Payments, the refund rules applicable to Stripe Managed Payments also apply. These rules may allow the payment service provider to grant a refund in certain circumstances independently of Cybexpert’s refund policy.

The provisions of this article apply subject to any mandatory rights available to the client.

14. Time limits applicable to PECB self-study and e-learning courses

For PECB self-study and e-learning courses, the validity period begins on the date the participant is enrolled with PECB.

From that date, the participant has the period specified by PECB, currently 12 months, to complete the elements included in the service, including the training, the examination and, where applicable, the steps relating to certification.

The conditions, procedures and time limits applicable to these services are those defined by PECB and may be amended by PECB.

15. Technical requirements

The participant must have an Internet connection, an up-to-date web browser and equipment compatible with the materials or platform used for the training course. Any specific technical requirements are specified in the offer or by the organisation providing the training course.

16. Territorial scope

Self-study and e-learning courses may be offered to clients established in Switzerland and abroad, subject to the availability of the service and to any restrictions imposed by certification bodies, payment service providers or applicable law.
Cybexpert reserves the right to refuse or cancel an order where the service cannot legally or technically be provided in the country concerned. In such cases, any amounts already paid will be refunded in accordance with the terms applicable to the transaction.

D. INSTRUCTOR-LED TRAINING

The provisions of this section apply to training courses delivered live by an instructor, whether in person or remotely.

17. Content, objectives and prerequisites

The objectives, content, duration, target audience and any prerequisites are specified in the training course description or in the offer provided to the client.

It is the responsibility of the client or participant to ensure that the prerequisites are met.

18. Participation requirements

For in-person training, the participant must have any personal equipment specified in the course description.

For remote training, the participant is responsible for having an Internet connection and equipment suitable for attending the training under appropriate conditions.

19. Training outcomes

Cybexpert provides the educational resources necessary for the proper delivery of its training courses. However, success in an examination, obtaining a certification or achieving a particular outcome cannot be guaranteed, as these depend in particular on the participant’s commitment, preparation and experience.

20. Certificate of attendance

A certificate of attendance is provided to participants who have completed the training, where such a certificate is included for the course concerned.

E. OPEN-ENROLMENT TRAINING

21. Registration and payment

Registration may be completed online or directly with Cybexpert. The available payment methods are those offered to the client at the time of the order and may include electronic payment, bank transfer or payment by invoice.
Invoices are payable within the period stated on the invoice. In the event of late payment, default interest of 5% per annum may be charged in accordance with Swiss law.

22. Included services

For in-person training, the price includes documentation, the specified training materials, Wi-Fi and breaks. Travel, accommodation and meal expenses remain the responsibility of the participant.

23. Session scheduling and confirmation

Scheduled sessions are organised subject to a sufficient number of participants. If there are insufficient participants, Cybexpert may, no later than 5 business days before the start of the training, propose a postponement, an adjustment to the duration or an adjustment to the price. Any modification is subject to the participant’s agreement. If no agreement is reached, the registration will be cancelled and any amounts already paid will be refunded in full.

  • Guaranteed: the session is confirmed and will take place on the announced date and at the announced location, subject to force majeure.
  • Scheduled: the session is open for registration but has not yet been definitively confirmed.

24. Cancellation, replacement and absence

Any cancellation request must be submitted to Cybexpert in writing before the start of the training. The date on which the request is received shall be decisive:

  • More than 30 calendar days before the start of the training: cancellation free of charge.
  • From 30 to 15 calendar days before the start of the training: 50% of the training fee is due.
  • 14 calendar days or fewer before the start of the training: 100% of the training fee is due.

A participant may be replaced by another person free of charge, provided that the replacement meets any applicable admission requirements.

Absence does not entitle the participant to any refund. In the event of illness or force majeure, Cybexpert may, exceptionally and subject to availability, offer a transfer to a later session.

25. Cancellation or modification by Cybexpert

In the event of cancellation by Cybexpert, the participant may choose either to transfer their registration to a later session or to receive a full refund of the amounts paid for the training.

F. PRIVATE CORPORATE TRAINING

26. Offers, booking and payment

Offers are valid for the period specified in the offer or, if no period is specified, for 30 days. The service becomes binding upon written confirmation of the engagement. Any confirmed booking commits the client to payment in accordance with the terms set out in the offer or invoice.

27. Non-solicitation

During the training and for twelve months following its completion, the client undertakes not to actively solicit for employment any Cybexpert instructors who were directly involved in providing the service. This provision does not apply to unsolicited applications or responses to job vacancies advertised publicly.

28. Organisation and infrastructure

Where the training is held at the client’s premises, the client shall provide the agreed premises, Internet connection and equipment.

For remote private corporate training, the client shall ensure that participants have the necessary equipment and access.

29. Dates and provisional booking

A date may be provisionally reserved for seven calendar days. If the client does not provide written confirmation within this period, Cybexpert may release the date without prior notice. The provisional reservation period for a date is independent of the validity period of the offer.

30. Cancellations and postponements

Cancellation by the client

Any cancellation request must be submitted to Cybexpert in writing. The date on which the request is received shall be decisive.

  • More than 45 calendar days before the start of the training: cancellation free of charge.
  • From 45 to 31 calendar days before the start of the training: 50% of the agreed amount is due.
  • 30 calendar days or fewer before the start of the training: 100% of the agreed amount is due.

Any costs already incurred with third parties and which are non-refundable remain payable in all cases.

The absence of one or more participants does not entitle the client to any refund.

Postponement requested by the client

Any request for postponement is subject to Cybexpert’s approval and the availability of the instructors. If a postponement is accepted, any costs already incurred or resulting from the change of date remain payable by the client. If Cybexpert has not provided written approval for the postponement, the cancellation terms above remain applicable.
